1Accepting the Terms

Billing Saathi (billingsaathi.com) is a GST billing and inventory software product of Diginest Solution ("Diginest", "we", "us"). These Terms and Conditions ("Terms") apply to your use of our website, software, mobile access and related services (together, the "Services").

You accept these Terms when you create an account or start using the Services. If you do not agree, please do not use them. By using the Services, you confirm that:

• You are at least 18 years old and legally able to enter into a contract, or you are acting on behalf of a business that is.
• The information you give us during sign-up is accurate, complete and lawful, and you will keep it up to date.
• You are a real person or an authorized representative of a business. Bots and automated sign-ups are not allowed.
• You will not use the Services for any illegal or unauthorized purpose.
• Billing Saathi is intended for businesses operating in India.

2Our Services

Billing Saathi helps you create GST invoices and other business documents, manage inventory, customers and vendors, track payments and generate reports. We keep improving the product, so features may be added, changed, paused or removed from time to time.

Some features may be released as beta or preview versions. These may contain bugs, interruptions or incomplete functionality, and you use them at your own discretion.

You may stop using the Services at any time. If we disable your account, you agree not to access the Services again unless we allow it in writing.

3Tax Compliance and Professional Advice

Billing Saathi is a software tool. It does not provide legal, accounting, tax, audit or financial advice, and nothing on our website or in the software should be treated as professional advice.

You remain solely responsible for:

• GST registration and compliance
• Filing returns on time
• Choosing correct tax rates and checking tax calculations
• The accuracy of every invoice and document you create
• E-invoice and e-way bill compliance
• Maintaining accounting records and statutory reports

4Your Account and Security

• You are responsible for keeping your password and login details confidential.
• You are responsible for all activity under your account, including activity by staff accounts you create and the permissions you give them.
• If you notice any unauthorized use of your account, tell us immediately at support@billingsaathi.com.
• We are not liable for loss or damage caused by your failure to protect your login details.

5Acceptable Use

You agree to use the Services only in ways that follow these Terms and applicable law. You agree that you will not:

• Use scripts, bots, scrapers or other automated tools to access the Services, except through interfaces we officially provide.
• Disrupt, overload or interfere with the Services or the systems that support them.
• Copy, resell, sublicense, rent or redistribute the Services or any part of them.
• Reverse engineer or attempt to extract the source code of the software.
• Upload unlawful, fraudulent or infringing content, or use the Services to issue false or misleading invoices.
• Try to gain access to accounts, data or systems that are not yours.

6Your Data and Backups

You own the business data you enter into Billing Saathi, including invoices, customer and vendor details, products and records. You give us permission to store and process that data only as needed to run the Services for you, as explained in our Privacy Policy.

You are responsible for making sure you have the right to enter your customers' and vendors' information, and for the accuracy of everything you add.

7AI Features

Billing Saathi includes AI features such as the AI chatbot and automation tools, which are built and operated by Diginest Solution. AI-generated answers, suggestions and outputs can be incomplete or inaccurate.

You agree to review AI-generated results, including invoices, tax figures and reports, before relying on them or acting on them. AI output is not professional advice, and you remain responsible for the decisions you make using it.

8Third-Party Services and Integrations

Some features depend on services we do not control, such as GST and e-invoice portals, payment gateways, email and WhatsApp providers, cloud hosting and accounting tools like Tally.

We are not responsible for the availability, accuracy, security, pricing or policies of these third parties. Data they provide or process may contain delays, errors or interruptions, so please verify important information independently. To the extent permitted by law, we are not liable for loss, penalty, tax liability, downtime or business interruption caused by a third-party service or integration failing.

9Plans, Pricing and Payments

• We may offer free trials, paid plans and add-ons. Current plans and prices are shown on our website. free trial length, e.g. 30 days, no credit card required.
• We may change prices, plans or features at any time. A change will not affect your current paid billing period, and we will give you notice before a changed price applies to your renewal.
• Some features, such as messaging or e-invoice usage, may use prepaid credits. how credits work and whether they expire.
• Prices exclude applicable taxes, including GST.
• Payments are processed by third-party payment providers. You agree to provide valid payment details and authorize us to charge the fees you choose.

10Cancellation and Refunds

You can cancel your plan at any time, and it will stay active until the end of the period you paid for. Refunds are governed by our Refund Policy.

Fees are non-refundable once a plan is activated, except as stated in the Refund Policy or required by law.

If you were charged twice or charged in error, contact us at support@billingsaathi.com and we will review and correct it.

11Intellectual Property

Billing Saathi, including its software, design, logo, name, templates and documentation, belongs to Diginest Solution and is protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use the Services for your own business while these Terms apply.

These Terms do not transfer any ownership of our intellectual property to you. Your own business data and content stay yours.

12Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use and protect information. By using the Services, you agree to it.

13Disclaimer of Warranties

The Services are provided "as is" and "as available." To the extent permitted by law, we do not promise that:

• The Services will meet all of your requirements.
• The Services will always be timely, uninterrupted, secure or error free.
• Information, calculations or reports from the Services will always be accurate or complete.

You use the Services, and download or create any file through them, at your own risk. Nothing in these Terms limits any warranty or liability that cannot be excluded under applicable law.

14Limitation of Liability

To the maximum extent permitted by law, Diginest Solution will not be liable for:

• Indirect or consequential loss, loss of profit, goodwill, business or data.
• Penalties, interest or tax liabilities that arise from your filings or invoices.
• Loss caused by incorrect information you provided or by a compromised password.
• Changes to, or temporary or permanent discontinuation of, any feature of the Services.
• Downtime, delay, or data loss caused by events outside our reasonable control.

Our total liability for any claim relating to the Services will not exceed the fees you paid us in the 12 months before the claim. If you use a free plan or trial, our total liability will not exceed ₹ 999.

15Indemnification

You agree to protect and compensate Diginest Solution, its owners, directors, employees and partners against claims, losses, penalties and expenses arising from:

• Content or data you add to the Services
• Incorrect GST or tax filings and invoices
• Your violation of any law or of these Terms
• Misuse of the Services or reliance on AI-generated results without checking them
• Your violation of any third party's rights

16Suspension and Termination

We may suspend or end your access if you break these Terms, misuse the Services, fail to pay fees, or if we are required to by law. Where reasonable, we will tell you first.

When your account ends, your right to use the Services stops. You can export your data before closing your account, and after closure we handle your data as described in our Privacy Policy, including a deletion period of 30 days.

17Governing Law and Disputes

These Terms are governed by the laws of India. If a dispute arises, both sides will first try to resolve it through good-faith discussion.

If it is not resolved, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Rajkot, Gujarat, and the proceedings will be in English. The courts at Rajkot, Gujarat will have exclusive jurisdiction over enforcement of arbitration awards and matters that cannot be arbitrated.

18General Terms

• Events beyond our control: we are not liable for failure or delay caused by events outside our reasonable control, such as natural disasters, power or internet failures, government action or third-party outages.
• Electronic communication: you agree that we may send notices and agreements to you by email, in-app messages or by posting them on our website.
• Changes to these Terms: we may update these Terms from time to time and will change the "Last updated" date above. For significant changes, we will notify you by email or in-app notice. Continuing to use the Services after a change means you accept it.
• Severability: if any part of these Terms is found unenforceable, the rest will stay in effect.
• Entire agreement: these Terms, together with the Privacy Policy and Refund Policy, are the complete agreement between you and us about the Services.
